Directors and Officers

Following the completion of the Qualifying Transaction, all of the current directors and officers of Essex have remained as directors and officers of the Resulting Issuer. The current roster of directors and officers of the Issuer are as follows:

• Richard Galdi

  Chairman, President, Chief Executive Officer and Director

  Mr. Galdi was formerly President of Michigan-based Great Lakes Angels, an angel investment group. Previously, he held the posts of Chairman/CEO of StarShowz Corp., an entertainment services company he helped found and manage in 1989. Over the intervening years, Mr. Galdi was also a principal investor in several venture capital funds.

• Michael Labiak

  Chief Operating Officer, Executive Vice-President and Secretary

  Mr. Labiak is a successful entrepreneur, active investor and general partner in ventures that went on to become listed companies. His investment portfolio and business interests encompass a wide range of endeavors from healthcare to automotive, real estate and energy production.

• Julian Hawkins

  Chief Financial Officer

  Mr. Hawkins is a Chartered Accountant in Ontario, England and Wales, and holds a Masters of Arts degree in Economics from the University of Cambridge in the UK. From 1998 through 2007, he worked in the Toronto office of PriceWaterhouseCoopers LLP. He is currently an Associate at Howie & Partners LLP and lectures on accounting and auditing matters at the University of Windsor’s Odette School of Business.

• Jason Krueger

  Director

  Mr. Krueger is a Chartered Financial Analyst and is presently Executive Vice President and Director, Leader Energy Services (TSX:LEA), previously President, Redwood Capital Corporation, and formerly President, CEO & Director, Summus Capital Corporation.

• Michael Magnus

  Director

  Mr. Magnus is presently also President/CEO & Director, Shear Wind, Inc. (TSX:SWX); formerly Executive VP Clearwater Seafood Income Fund; previously Executive VP Condiment Division, Kraft Foods, Inc.

• Consultants and Professionals
